1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of px1labs.com and px1labs.ee (the “Site”) and any purchase made through the associated PX1 Labs Telegram shop. By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
2. Who we are
The Site and shop are operated by PX Ventures LLC (“PX1 Labs”, “we”, “us”), a limited liability company organised in the United States. You can contact us through our contact form.
3. Eligibility and researcher verification
The Site is intended solely for qualified researchers, laboratories and institutions. By using it or ordering, you confirm that you are at least 21 years of age and that you are a qualified researcher or authorised representative of a laboratory acquiring products for in-vitro and laboratory research only. We may verify researcher status and may refuse or cancel any order at our discretion.
4. Research use only
All products are supplied strictly as chemicals for laboratory and in-vitro research use only. They are not drugs, foods, cosmetics or medical devices, are not for human or veterinary use, and are not for any diagnostic, therapeutic, or clinical application. They have not been evaluated by the U.S. Food and Drug Administration, the European Medicines Agency, or any other regulatory authority. You are solely responsible for handling, storing, using and disposing of the products safely and lawfully, and for any use to which you put them.
5. No medical or professional advice
Content on the Site — including guides, comparisons, protocols and reference figures — is provided for general informational and educational purposes only. It is not medical, veterinary, legal or other professional advice, and must not be relied upon as such.
6. Orders, pricing and payment
Orders are placed and confirmed through our Telegram shop. Listed prices are in euros and may change without notice; obvious pricing errors do not bind us. Your order is an offer to purchase, which we may accept or decline. Payment is taken by third-party payment providers (currently Stripe and/or NOWPayments); your use of those services is subject to their own terms. We receive only a payment confirmation and an opaque reference, not your card details.
7. Shipping and delivery
Products ship from within the European Union, with free EU shipping on all orders. Delivery times are estimates only and are not guaranteed. Risk of loss passes to you on delivery to the carrier or pick-up point. Where products are shipped to you, you are the importer of record and are responsible for compliance with the import rules and any duties or taxes of your destination.
8. Shipment protection and returns
Every shipment includes shipment protection: if an order arrives damaged or does not arrive, contact us and we will replace it. Because of the nature of research chemicals, opened or used items cannot be returned. Nothing in this section limits any non-waivable rights you may have under mandatory law in your jurisdiction.
9. Your compliance responsibilities
You are responsible for ensuring that your purchase, possession, handling and use of the products is lawful in your jurisdiction, and for obtaining any licence or authorisation required. You agree not to resell the products except under an approved wholesale arrangement, and not to use them in any way that is unlawful or that endangers people, animals or the environment.
10. Acceptable use of the Site
You agree not to misuse the Site — including attempting to interfere with its operation or security, accessing it by automated means without permission, or using it to submit false information or unlawful content.
11. Intellectual property
The Site and its content — text, graphics, layout, logos and documentation — are owned by PX Ventures LLC or its licensors and are protected by intellectual-property laws. You may not copy, reproduce or reuse them except as permitted by these Terms or with our written consent. Third-party names (for example, Ozempic®, a trademark of Novo Nordisk) are the property of their respective owners and are used for reference only; PX1 Labs is not affiliated with them.
12. Disclaimers
The Site and products are provided “as is” and “as available”. Except for the specifications stated on the lot-specific Certificate of Analysis, we make no warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, PX Ventures LLC and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from misuse of the products or use contrary to these Terms. Our total liability for any claim relating to an order will not exceed the amount you paid for that order.
14. Indemnification
You agree to indemnify and hold harmless PX Ventures LLC from any claims, losses or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the products, or your violation of any law or the rights of any third party.
15. Governing law
These Terms are governed by the laws of the United States of America and the applicable state in which PX Ventures LLC is organised, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the competent courts located in the United States. Where you are a consumer in the EEA or UK, this does not deprive you of the protection of mandatory provisions of your local law.
16. Changes to these terms
We may update these Terms from time to time. Changes take effect when posted, with the “last updated” date above showing the latest revision. Continued use of the Site after changes means you accept them.
